Hytera Acquires Rohde & Schwarz PMR and Strengthens Its Competition Edge in Global Tetra Market

August 5th, Shenzhen—The Share Sale, Purchase and Transfer Agreement had been signed between Hytera Communications Co. Ltd. and Rohde & Schwarz GmbH & Co. KG in Munich,Germany on July 20th, 2011. According to this agreement, Hytera shall purchase 100% shares of Rohde & Schwarz Professional Mobile Radio GmbH (hereafter refers as “R&S PMR”) which is owned by Rohde & Schwarz GmbH & Co.KG., and will assume responsibilities on relevant liabilities and projects guaranties. The acquisition is pending approval by both the Chinese and German governments. R&S PMR’s current employees, projects obligations and premises remain the same after the completion of the acquisition, and PMR will become the operation center for Hytera in Europe.

On May 27, Hytera successfully completed its initial public offering (IPO) on the Shenzhen Stock Exchange of China. 70 million shares, out of 278 million shares’ total capital, were traded publicly with an initial price of CNY19.90 ($3.06) per share to total gross proceeds of CNY1,393 million ($214.2 million), bringing Hytera to a market value of CNY 5532 million ($851 million).
